Tora Collective Trade Terms & Conditions

1. Trade Accounts
Tora Collective reserves the right to approve, decline, suspend or close any trade account at our discretion.Trade accounts are intended for genuine business use only.Businesses operating for less than two years may be required to prepay orders and provide trade or supplier references prior to approval.
2. Ordering
All orders must be placed via HospoConnect unless otherwise agreed.Minimum order quantity is 3kg total across all species.Orders may include mixed species.Orders are subject to availability, weather conditions and catch success.We reserve the right to accept or decline orders at our discretion.Trade customers subscribed to our fishing plan emails will receive weekly updates outlining upcoming catch days, delivery windows and product availability.
3. Catch & Supply
Tora Collective harvests wild kaimoana to order from the Tora Coast.Due to the nature of fishing and ocean conditions:catch dates may changedelivery windows may shiftsupply cannot be guaranteed on specific datesIf weather or operational conditions prevent us from supplying an order as planned, we will contact you as soon as possible to arrange an alternative delivery date, partial fulfilment, rescheduling or cancellation.
4. Delivery
Deliveries are sent using third-party courier providers.Standard delivery hours are generally between 7am–6pm unless otherwise advised.Someone must be available to receive and inspect deliveries during delivery hours.Tora Collective is not responsible for failed deliveries, product deterioration or losses where nobody is available to receive the order during the delivery window.We cannot guarantee exact delivery times.
5. Rural Deliveries
We strongly recommend using urban delivery addresses.If a customer chooses to use a rural address or rural delivery service, all transit risk transfers to the customer once the order has been dispatched.Tora Collective is not responsible for delays, deterioration or perishability issues resulting from extended rural delivery timeframes.
6. Inspection & Claims
All seafood must be inspected immediately upon delivery.Any issues, shortages, damage or perishability claims must:be reported immediately upon delivery, and no later than 1 hour after delivery timeClaims must include:clear photo and video evidence time stamped images/videos where possible temperature recordings where requested order detailsFailure to notify Tora Collective within the required timeframe may result in the claim being declined.Where a verified courier or delivery issue has caused product perishability, Tora Collective may, at its discretion:replace the affected product or provide credit provide partial or full refund
7. Product Weights
Seafood weights are recorded at the time of landing and packing using MPI-approved certified scales.Invoice weights reflect the legal landed and packed weight of the product at the Tora Collective packhouse.Customers acknowledge that live seafood naturally loses moisture and water weight during transit. Arrival weights may therefore differ from invoiced weights.
8. Pricing
All pricing is in New Zealand Dollars and excludes GST unless otherwise stated.Prices may change without notice.Delivery charges, freight surcharges or rural delivery fees may apply where relevant.
9. Payment Terms
Payment is due 7 days after invoice unless otherwise agreed in writing.For approved prepayment accounts, payment must be received before dispatch.Tora Collective may:suspend supply to overdue accounts place accounts on hold, require future orders to be prepaid, cancel trade terms at any time for overdue or unpaid accounts. Interest, collection costs, legal fees and debt recovery expenses incurred in recovering overdue amounts may be charged to the customer.
10. Personal Guarantee
Where the customer is a company, trust or other entity, the person completing the trade account application acknowledges they may be personally liable for outstanding debts if agreed as part of the account approval process.
11. Ownership of Goods
Ownership of goods remains with Tora Collective until payment has been received in full.Risk transfers to the customer upon delivery or collection.
12. Returns & Cancellations
Due to the perishable nature of seafood products:returns are not accepted, cancellations or amendments within 48 hours of scheduled dispatch may not be accepted. Any approved credits, refunds or replacements remain at the sole discretion of Tora Collective.
13. Limitation of Liability
To the maximum extent permitted by New Zealand law:Tora Collective’s liability is limited to the value of the goods supplied. Tora Collective is not liable for indirect, consequential or business losses including loss of profit, revenue or reputation
14. Consumer Guarantees Act
Where goods are supplied for business purposes, the parties agree that the Consumer Guarantees Act 1993 does not apply.
15. Marketing & Communications
By opening a trade account, customers agree that Tora Collective may send:fishing plan emails, product updates, operational notices, seasonal availability updates, promotional communications, Customers may unsubscribe from marketing communications at any time.
16. Privacy
Tora Collective may collect and store information provided through trade account applications and ordering activity for purposes including:account management, order fulfilment communication, debt recovery, operational and business administration. Information will be handled in accordance with New Zealand privacy laws.
17. Force Majeure
Tora Collective is not liable for delays, interruptions or failure to perform obligations due to events beyond our reasonable control including:weather events, ocean conditions, natural disasters, transport disruptions, labour shortages, Pandemics, equipment failure
18. Changes to Terms
Tora Collective may update these Trade Terms & Conditions at any time.Updated terms will apply from the date published on our website.
19. Governing Law
These Terms & Conditions are governed by the laws of New Zealand.Any disputes will be subject to the jurisdiction of the New Zealand courts.
